Terms and conditions

A deposit of 50% of the agreed setup cost will be required before any work starts. 30% will be invoiced once development is complete and once the content management system is completed. The final amount will be invoiced on completion of the project and before we launch the website to a live environment.

The 50% deposit will be kept if the quoted client decides to pull out of the project for any reason other than unsatisfactory work. Unsatisfactory work is described as work delivered at a sub-standard quality and not according to the outline defined and agreed upon by NetMechanic and the quoted client.

All ownership of graphics, code and other materials within the outline of this project will be transferred to
the quoted client upon full and final payment.

We develop for all the latest web browsers, which include Mozilla Firefox, Safari, Chrome, Internet Explorer 8 and up as these browsers are in line with W3C standards. If we need to develop for Internet Explorer 6 and 7 we will charge a conversion fee.

8.1| Termination
Should you decide to cancel the quotation prior to commencement of work, the 50% deposit will be retained to cover expenses incurred and no refunds will be made. Should you decide to cancel after the work has been completed you will be liable for the remainder of the quotation amount on completion.

8.2| Payment Terms
Payment is strictly COD (cash on delivery) on completion and approval of the work. No credit terms are available unless NetMechanic has granted prior written permission prior to commencement of the work. If Payment is made with out signing the contract then this will be counted as an acceptance to the quotation.

8.3| Scope of Work
NetMechanic reserves the right to receive a detailed scope and project guidelines from the Client. Should the Client request any work or changes after the acceptance of the quotation; these work or changes will be invoiced for in addition to the agreed quotation. These changes will be invoiced at the normal hourly rate.

8.4| Ownership
All work will remain the property of NetMechanic until full and final payment has been received. Open Source Development ownership and licensing subject to the GPL, BSD/APACHE, LGPL or alternatives where applicable.

8.5| Mutual Non-Solicitation
NetMechanic realize that their employees and
Contractors are a valuable resource. As such client agrees not to solicit or induce employees of NetMechanic or its contractors into their employment during the term of this agreement and for 12 months after termination of this agreement.

8.6| Late or Non-Payment
NetMechanic reserves the right to charge interest on late payments at the prime interest rate of South Africa + 5% compounded on a daily basis.

8.7| Timely Delay
Should the Client for any reason delay the supply of information necessary for completion of the work, as accepted in the quotation, for a period exceeding 60 days, the client will be invoiced in full for work completed to that date.

8.8| This quote is valid for 30 Days.
Payments for all invoices are due on a COD basis.

8.9| The contract period
The minimum contract period is 3 months

Acceptance of Quotation
The Client represents and warrants that it has the full personal and/or corporate power and authority to execute and deliver this Agreement and to perform its obligations hereunder, and that the person whose signature appears below is duly authorized to enter into this Agreement on behalf of the Client. The Agreement shall be governed by and construed in accordance with South Africa legislation. Upon payment of 50% deposit or below sign-off, Client agrees to the Terms and Conditions as stipulated in this agreement. Please initial all pages of contract.
